Terms and Conditions of Use
Version date: · Effective when published · Version 1.1
These Terms and Conditions of Use ("Terms") are a binding agreement between you ("you," "your," or "Customer") and Contract Intelligence Systems LLC, a Wyoming limited liability company ("AskGAAP," "we," "us," or "our"), governing your access to and use of the AskGAAP application, website, APIs, and related services (collectively, the "Service"). By creating an account, clicking "I agree," or using the Service, you accept these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.
If you do not agree to these Terms, do not use the Service.
1. The Service
AskGAAP is an accounting-intelligence application built by CPAs for accounting and finance professionals. The Service uses artificial intelligence and large language models to help you research, draft, analyze, and organize accounting information and work product. AskGAAP is a software tool. It is not an accounting firm, a law firm, a tax-advisory firm, or an audit or attest provider, and it does not deliver professional services of any kind.
2. Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly at security@askgaap.ai if you suspect unauthorized use of your account.
3. AI-Generated Output and Your Duty to Verify
The Service generates output using automated systems and probabilistic models. AI-generated output can be incomplete, out of date, or wrong, including in ways that are confident and plausible. Output is provided to assist your work, not to replace your professional judgment.
You are solely responsible for reviewing, verifying, and confirming the accuracy, completeness, and applicability of any output before you rely on it, publish it, deliver it to a client, or use it in any filing, engagement, or decision. This verification duty is a condition of your use of the Service and applies to every output, regardless of how the output is presented and regardless of any confidence signal the interface may display. Where you deliver AskGAAP-assisted work product to your own clients, you are responsible for any disclosures, warnings, or consents that your professional obligations require you to make to those clients.
4. Not Professional Advice
The Service does not provide accounting, auditing, attest, tax, legal, investment, or other professional advice, and nothing the Service produces constitutes such advice or creates any professional-client, fiduciary, or advisory relationship between you and AskGAAP. Output is not a substitute for the judgment of a licensed or qualified professional. You must consult your own qualified professionals before acting on any matter that requires professional judgment. You bear full responsibility for determining whether output is appropriate for your specific facts, jurisdiction, and purpose.
5. Acceptable Use
You agree not to: (a) use the Service in violation of any applicable law or regulation; (b) use the Service to build or train a competing product or model, or to benchmark it for that purpose; (c) reverse engineer, decompile, or attempt to extract the Service's underlying models, prompts, or source code except to the extent this restriction is prohibited by law; (d) access the Service through automated means except through our documented APIs; (e) upload content you lack the right to upload, or that infringes the rights of others; (f) upload malware or attempt to disrupt, degrade, or gain unauthorized access to the Service or its infrastructure; or (g) resell, sublicense, or provide the Service to third parties except as expressly permitted in writing.
6. Your Content and Data
"Customer Content" means the inputs, documents, prompts, and data you submit to the Service, and the outputs generated for you from those inputs. As between you and AskGAAP, you retain all rights you hold in your Customer Content. You grant AskGAAP a limited license to host, process, and transmit your Customer Content solely to provide and support the Service, to maintain security, and to comply with law.
7. No Training on Your Data
AskGAAP does not use your Customer Content to train, fine-tune, or improve foundation models, and it does not sell or share your Customer Content. We use your Customer Content only to provide the Service to you, to secure and support it, and to meet our legal obligations. Where third-party model providers process inputs to generate output for you, we contract for the same no-training commitment on the commercial tiers we use. We may use aggregated, de-identified operational data that does not identify you or any individual to monitor, secure, and improve the Service. Our processing of personal data is described in the AskGAAP Privacy Policy.
8. Intellectual Property; Clean Mode
8.1 Our IP. The Service, including its software, models, interfaces, and design, and all intellectual property in them, is owned by AskGAAP or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. We reserve all rights not expressly granted.
8.2 Your outputs. Subject to your compliance with these Terms and payment of any applicable fees, we assign to you our rights, if any, in the output generated specifically for you, so that you may use that output for your business. Output generated for other users, and any output that is not unique to you, is not assigned to you.
8.3 Clean Mode. AskGAAP operates in "Clean Mode." The Service references authoritative accounting standards, including the FASB Accounting Standards Codification, by identifier and citation rather than by reproducing the licensed text of those standards. Where the Service surfaces standard-setter content, it does so on a bring-your-own-license basis: the licensed text is retrieved and displayed under your own subscription or license to that content, not from AskGAAP's store of it. AskGAAP does not redistribute the copyrighted text of third-party standard-setters. You are responsible for holding any subscription or license required to view the full text of the standards you access through the Service.
9. Third-Party Services
The Service integrates third-party providers for hosting, analytics, error monitoring, and form processing, listed in the AskGAAP Privacy Policy. Your use of those integrated features may be subject to the third parties' own terms. We are not responsible for third-party products or services.
10. Fees
If your plan includes fees, you agree to pay them as described at purchase. The rules for free access, pay-as-you-go credits, subscriptions, renewals, cancellation, credit expiration, rollover, and refunds are stated in our Billing, Cancellation and Refund Policy, which forms part of these Terms. We may change fees prospectively on notice; changes do not affect the term you have already paid for.
11. Warranty Disclaimer
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, ASKGAAP DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ASKGAAP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR YOUR PURPOSE.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (a) ASKGAAP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) ASKGAAP'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS. THESE LIMITS APPLY TO ALL THEORIES OF LIABILITY AND ARE AN ESSENTIAL BASIS OF THE BARGAIN. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, WHICH MAY NOT APPLY TO YOU.
13. Indemnification
You will defend, indemnify, and hold harmless AskGAAP and its members, officers, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your Customer Content, your use of the Service, your delivery of AskGAAP-assisted work product to your clients, or your breach of these Terms or of applicable law.
14. Dispute Resolution; Arbitration; Class Waiver
Please read this section carefully. It affects your legal rights, including your right to bring a lawsuit in court and to have disputes decided by a jury or through a class action.
14.1 Informal resolution first. Before starting an arbitration, you agree to contact us at legal@askgaap.ai with a written description of the dispute and to allow sixty (60) days to resolve it informally in good faith.
14.2 Binding arbitration. If the dispute is not resolved, you and AskGAAP agree that any dispute arising out of or relating to the Service or these Terms will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs the interpretation and enforcement of this section. Judgment on the award may be entered in any court of competent jurisdiction.
14.3 Class-action and jury-trial waiver. You and AskGAAP agree to bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding. You and AskGAAP each waive the right to a trial by jury and the right to participate in a class action.
14.4 Small-claims and injunctive carve-out. Either party may bring an individual claim in a qualifying small-claims court instead of arbitration, and either party may seek injunctive relief in court to protect its intellectual property or confidential information.
14.5 30-day opt-out. You may opt out of this arbitration and class-waiver section by emailing legal@askgaap.ai within thirty (30) days of first accepting these Terms, stating your name, account, and intent to opt out. Opting out does not affect any other part of these Terms.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules, and, for arbitrability, by the Federal Arbitration Act. To the extent any dispute is not subject to arbitration, it will be brought exclusively in the state or federal courts located in Wyoming, and you consent to their jurisdiction, except where applicable law grants you the right to bring a claim in your home jurisdiction.
16. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or its users. On termination, your license to use the Service ends. Sections that by their nature should survive termination will survive, including Sections 3, 4, 6, 7, 8, and 11 through 15.
17. Changes to These Terms
We may update these Terms. When we do, we will revise the "Effective date" and version above and, for material changes, provide reasonable advance notice through the Service or by email before the changes take effect. Your continued use of the Service after the effective date of an update means you accept the updated Terms. We maintain prior versions and a summary of material changes.
18. General
These Terms are the entire agreement between you and AskGAAP regarding the Service and supersede prior agreements on that subject. If any provision is held unenforceable, the rest remains in effect and the unenforceable provision is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
